Acceptance of Terms
This site (the “Site”) is operated by PAXIV, LLC and its affiliates (collectively, “PAXIV,” “we,” or “us”). By accessing or using this Site, you agree to be legally bound by these Terms of Use as we may modify them from time to time. These Terms apply to your use of this Site, including all PAXIV services offered via the Site.
They constitute a legal contract between you and PAXIV. By accessing any part of the Site, you represent and warrant that you have the right, power, and authority to agree to and be bound by these Terms. If you do not agree, or do not have the authority to agree, you may not use the Site.
Purpose of Site
The Site is intended to provide information about commercial real estate and PAXIV services. Information and services offered on or through this Site are provided solely for general business information purposes and do not constitute real estate, legal, tax, accounting, investment, or other professional advice.
No lawyer-client, advisory, fiduciary, or other professional relationship is created by your accessing or using this Site. You shall not use the Site’s information for personal, family, or household purposes, or to determine an individual’s eligibility for credit, insurance, employment, or government benefits.
Services
All content contained on or provided through this Site — including information, data, text, software, photographs, images, databases, and other materials (collectively, the “Content”) — is proprietary to PAXIV and its licensors, protected by copyright and applicable intellectual property laws.
The Site, Content, Database, Information, Software, and any modifications thereto are collectively referred to as the “Product.” Portions requiring authentication (“Passcodes”) are available only to authorized PAXIV clients who have entered into a License Agreement.
Free Trial
From time to time, at PAXIV’s sole discretion, PAXIV may offer a free trial period to certain individuals. PAXIV will specifically notify eligible participants. Unless terminated sooner by PAXIV, the Free Trial shall last for the duration specified in the notification. During the Free Trial, the participant may use limited Passcode Protected Product subject to these Terms.
Permitted Uses
Subject to these Terms (and, if applicable, your License Agreement), you may use the Product for:
- Internal research purposes
- Providing information regarding a limited number of specific properties and market trends internally
- Marketing properties within the PAXIV Site
- Supporting your valuation, appraisal, or research regarding a specific property
- Creating periodic general market research reports for in-house use, provided such reports do not contain building-specific or tenant-specific information and are not commercially distributed
All information gathered must be stored and shared only through the PAXIV Deal Room feature.
Prohibited Uses
You may not distribute, copy, reproduce, publish, transmit, sell, rent, or otherwise make available any portion of the Product. Specifically, you shall not:
- Access Passcode Protected Product without being an Authorized User
- Access or use the Product if you are a direct or indirect competitor of PAXIV
- Share your Passcode with any other individual
- Use Product information to develop any competing database or product
- Modify, decompile, disassemble, scrape, decode, or reverse engineer any portion of the Product
- Upload or publish any portion of the Product on any external network, data library, or data-sharing arrangement
- Use any portion of the Product for illegal activity or to harass another person
- Market to contacts acquired from the Product without obtaining appropriate legal consents
Fees
You are responsible for timely payment of all fees incurred through your use of the Site and all applicable taxes. PAXIV reserves the right to change fee amounts and structures prospectively at any time.
By subscribing to any monthly plan, you agree to recurring monthly charges on your credit card and automatic renewals until canceled by you upon 30 days written notice prior to any renewal period.
Termination and Interruption
PAXIV may interrupt, terminate, discontinue, or block your access to the Product at any time, subject to the terms of any active License Agreement. PAXIV reserves the right to terminate access upon a good-faith determination of a material violation of these Terms or any other agreement between the parties.
In the event of termination, you shall immediately cease using the Product, permanently delete all portions within your possession, and, upon written request, certify compliance in writing.
No Warranties
The Product and all parts thereof are provided “as is,” “with all faults,” and “as available.” PAXIV does not warrant that the Product will always be accurate, complete, current, or timely; that access will be uninterrupted or error-free; or that defects will be corrected.
PAXIV EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall PAXIV, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Product.
PAXIV’s total liability to you for any claims arising from or related to these Terms or your use of the Product shall not exceed the amount you paid to PAXIV in the twelve months preceding the claim.
Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully — it describes how we collect, use, and protect your personal information.
